Welcome to Fundermatcher. These Terms of Use ("Terms") govern your access to and use of the Fundermatcher platform, website at fundermatcher.com, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree to these Terms, you must not use the Service.

1. About Fundermatcher

Fundermatcher is an AI-powered grant matching and application writing platform designed for UK charities and non-profit organisations. The Service helps charities identify suitable funders from our database and draft grant applications using artificial intelligence tools.

Fundermatcher is a service operated by NoviumAI, a trading name of Gradingly Limited, a company registered in England & Wales under company number 12771192, with registered address at Gradingly Office, Lavant House, West Lavant, United Kingdom, PO18 9AB ("we", "us", "our"). You can contact us at support@fundermatcher.com.

When making a payment through Fundermatcher, the charge will appear on your bank or card statement as NoviumAI or NOVIUMAI. For any billing or payment queries, please contact us at support@fundermatcher.com.

2. Eligibility

The Service is designed for UK-based charities, non-profit organisations, social enterprises, and community interest companies. By using the Service, you represent that:

  • You are at least 18 years old.
  • You have the authority to bind your organisation to these Terms if you are acting on behalf of an organisation.
  • Your use of the Service is for legitimate charitable or non-profit purposes.

3. Account Registration

To use the Service, you must create an account using a valid email address. We use passwordless authentication — you will receive a secure sign-in link by email each time you log in.

You are responsible for:

  • Maintaining the security of your email account used for sign-in.
  • All activity that occurs under your account.
  • Ensuring that the information you provide about your organisation is accurate and up to date.

Each account is associated with an organisation. The person who creates the account becomes the organisation owner and may invite additional team members, subject to plan limits.

4. Subscriptions and Billing

4.1 Plans and Pricing

We offer tiered subscription plans based on your organisation's annual income. Current plans and pricing are displayed on our pricing page. We reserve the right to change our pricing at any time, with reasonable notice to existing subscribers.

4.2 Free Access

Charities with an annual income under £30,000 may be eligible for free access. To apply, email support@fundermatcher.com.

4.3 Free Trial

New users receive a 7-day free trial that includes up to 5 funder matches. You will not be charged during the trial period. If you do not subscribe to a paid plan before the trial ends, your access will be limited to the free tier.

4.4 Billing and Payment

Payments are processed securely through a third-party payment provider. We accept major credit and debit cards. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis (monthly or annually, depending on your selection).

4.5 Minimum Commitment

Monthly subscriptions have a 12-month minimum commitment period. You may cancel at any time, but your subscription will remain active until the end of the 12-month commitment period. Annual subscriptions are paid upfront for the full year.

4.6 Money-Back Guarantee

We offer a 30-day money-back guarantee for new paid subscribers. If you are not satisfied with the Service within 30 days of your first payment, contact us at support@fundermatcher.com to request a full refund.

4.7 Cancellation

You can manage or cancel your subscription through the customer portal, accessible from your account settings. Upon cancellation, you retain access to the Service until the end of your current billing period or commitment period, whichever is later.

4.8 Non-Payment

If a payment fails, your account may be placed in a "past due" state. We will attempt to collect payment and may restrict access to paid features if payment is not received within a reasonable period.

5. Plan Limits

Each subscription plan includes limits on usage (such as the number of searches, AI chat messages, saved funders, team members, and document uploads). Current plan limits are displayed on our pricing page. If you exceed your plan limits, you may need to upgrade to a higher plan to continue using certain features.

6. AI-Generated Content

The Service uses artificial intelligence to generate funder matches, grant application drafts, research summaries, and other content. The AI is designed as an aid to your grant writing process — it is not a replacement for your own judgement, expertise, and knowledge of your organisation. You acknowledge and agree that:

  • No guarantee of accuracy. AI-generated content may contain errors, inaccuracies, outdated information, or fabricated details. Like all large language models, the AI may "hallucinate" — producing plausible-sounding but incorrect or invented information, including facts, figures, funder details, and eligibility criteria that do not exist. You must carefully review and verify all AI-generated content before relying on it or submitting it to any funder.
  • No guarantee of funding. Fundermatcher does not guarantee that you will receive funding from any funder. Match scores and recommendations are algorithmic estimates and do not represent a funder's willingness to fund your organisation.
  • Your responsibility. You are solely responsible for any grant applications, correspondence, or other materials you submit to funders, even if those materials were drafted with the assistance of our AI tools. You should always check AI-generated content against your own records and the funder's published guidelines.
  • Writing aid, not a writer. The Service is a tool to help you draft and improve your grant applications more efficiently. The final content should always reflect your organisation's authentic voice, verified facts, and genuine impact. Do not submit AI-generated content without reviewing and editing it.

7. Sensitive Information

Do not enter sensitive, confidential, or highly personal information into the Service. This includes but is not limited to:

  • Personal data of beneficiaries, service users, or vulnerable individuals (names, addresses, health information, case details).
  • Financial information such as bank account numbers, payment card details, or passwords.
  • Safeguarding information or details that could identify vulnerable people.
  • Any information that is subject to legal privilege or confidentiality obligations.

Your Content is processed by third-party AI services (see Section 10) and stored on cloud infrastructure. While we take reasonable steps to protect your data, you should only share information that you would be comfortable including in a grant application or sharing with a funder. If you accidentally enter sensitive information, contact us immediately at support@fundermatcher.com so we can assist with its removal.

8. Funder Database

Our database contains information on over 3,500 UK grant-making organisations. While we endeavour to keep this information accurate and up to date, we do not warrant that:

  • All funder information is current, complete, or accurate.
  • All active UK funders are represented in our database.
  • Funder eligibility criteria, funding amounts, or deadlines reflected in the Service are current.

You should always verify funder information directly with the funder before submitting an application.

9. Your Content

9.1 Content You Provide

You may provide content to the Service including your organisation's profile information, charity details, descriptions of your work, grant application drafts, and uploaded documents such as annual reports and strategic plans ("Your Content").

You represent and warrant that:

  • You own or have the right to share Your Content.
  • Your Content does not infringe on any third party's intellectual property rights, privacy rights, or other legal rights.
  • Your Content is accurate and not misleading.

9.2 How We Use Your Content

We use Your Content solely to provide and improve the Service. This includes processing Your Content through third-party AI services (see Section 10) to generate matches, draft applications, and provide other features. We do not sell Your Content to third parties.

9.3 Ownership

You retain ownership of Your Content. Grant application drafts and other outputs generated by the AI using Your Content belong to you. We retain no ownership rights over AI-generated outputs created for your account.

10. Third-Party Services

To provide the Service, we use trusted third-party services that may process Your Content, including:

  • AI services — for AI-powered matching, profile generation, grant writing assistance, chat, and document analysis. Your Content (including uploaded documents and organisation descriptions) is sent to third-party AI providers for processing.
  • Web research services — for real-time web research about funders and web search functionality.
  • Payment processing — for secure payment handling. We do not store your payment card details; these are handled directly by our payment provider.
  • Cloud infrastructure — for data storage, authentication, and infrastructure.
  • Public registers — we may query public charity register data using your charity number to verify and enrich your profile.
  • Product analytics — to help us understand how the Service is used and improve it.

Each third-party service is governed by its own terms and privacy policy. We select our providers carefully and require appropriate data protection safeguards, but we cannot control how third parties process data once it is shared with them. For more information, see our Privacy Policy.

11. Team Accounts

Organisation owners and administrators may invite additional team members to the account. The organisation owner is responsible for:

  • All activity carried out by team members under the organisation's account.
  • Managing team member roles and permissions.
  • Removing team members who should no longer have access.

The number of team members is subject to your subscription plan limits.

12. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Scrape, copy, or systematically download funder data or other content from the Service.
  • Use automated tools, bots, or scripts to access the Service (except through our documented APIs, if any).
  • Share your account credentials or allow others to access your account.
  • Misrepresent your organisation, its charitable status, or its activities.
  • Use the Service to submit fraudulent or misleading grant applications.
  • Attempt to reverse engineer, decompile, or extract source code from the Service.
  • Interfere with the security, integrity, or availability of the Service.
  • Resell, redistribute, or sublicense the Service or any output from it without our written consent.

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms.

13. Intellectual Property

The Service, including its design, code, algorithms, funder database, scoring methodology, and branding, is the property of Fundermatcher and is protected by intellectual property laws. You may not copy, modify, or create derivative works based on the Service except as expressly permitted by these Terms.

"Fundermatcher" and our logo are our trademarks. You may not use them without our prior written consent.

14. Beta Features

The Service or certain features may be designated as beta or early access. Beta features are provided "as is" and may be changed, suspended, or discontinued at any time without notice. We may introduce, modify, or remove features as the Service evolves.

15. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

16. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • AI-generated content will be accurate, complete, or suitable for your needs.
  • The funder database or match results will lead to successful grant applications.
  • The Service will be available at all times or in all locations.

17. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Service.
  • Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you have paid us in the 12 months preceding the claim.
  • We are not liable for any losses arising from your reliance on AI-generated content, funder match results, or any other information provided by the Service.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

18. Indemnification

You agree to indemnify and hold harmless Fundermatcher and its officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service.
  • Your breach of these Terms.
  • Your Content or any grant applications you submit using the Service.
  • Your violation of any applicable law or third-party rights.

19. Termination

You may close your account at any time by contacting us at support@fundermatcher.com. We may suspend or terminate your account if you breach these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ceases immediately. We may retain Your Content for a reasonable period in accordance with our Privacy Policy and applicable law. You may request deletion of your data by contacting us.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service and close your account.

21. General

  • Governing Law. These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fundermatcher regarding the Service.
  • Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
